These Terms of Service (“Terms”) govern your use of the services provided by AI Genesis (“we,” “our,” or “us”). By using our services, you agree to be bound by these Terms. Capitalized terms not defined here will have the meanings in the Agreement between you and AI Genesis governing your use of the services (“Agreement”). If there is a conflict between these Terms and the Agreement, these Terms will control.
AI Genesis provides automation and AI-driven solutions for businesses. The specific services we provide will be detailed in your Agreement with us.
a. Account Creation: To use our services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
b. User Responsibilities: You agree to use the services in compliance with all applicable laws and regulations. You must not use the services for any unlawful or prohibited activities.
You agree to pay all fees specified in the Agreement. Fees are non-refundable except as required by law or as otherwise stated in the Agreement. We reserve the right to change the fees for our services, but we will provide you with notice of any fee changes.
a. License: Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the services for your internal business purposes.
b. Restrictions: You must not (i) reverse engineer, decompile, or disassemble any part of the services, (ii) modify, adapt, or create derivative works of the services, or (iii) use the services to develop competing products or services.
a. Data Controller and Data Processor: You are the Data Controller of the personal data you provide to us for processing, and we act as your Data Processor. Our Data Processing Addendum (“DPA”) outlines our obligations and your rights with respect to the processing of personal data.
b. Data Security: We implement reasonable and appropriate security measures to protect your data. For more details, please refer to our DPA.
a. Ownership: We retain all rights, title, and interest in and to the services, including all intellectual property rights.
b. Feedback: If you provide us with any feedback or suggestions regarding the services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our services.
You agree to indemnify, defend, and hold harmless AI Genesis, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the services, your violation of these Terms, or your violation of any rights of another.
To the maximum extent permitted by law, AI Genesis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the services by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the services.
We may terminate or suspend your account and access to the services at any time, with or without cause or notice, if you violate these Terms or if we believe that your use of the services could cause harm to us or to other users. Upon termination, your right to use the services will immediately cease.
We may update these Terms from time to time. If we make changes, we will notify you by revising the date at the top of the Terms and, in some cases, we may provide you with additional notice (such as adding a statement to our homepage or sending you an email notification). Your continued use of the services after the revised Terms have become effective indicates that you have read, understood, and agreed to the current version of the Terms.
These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles. Any legal actions or proceedings arising out of or related to these Terms shall be brought exclusively in the courts located in [Jurisdiction].
